Ricoh has confirmed an agreement regarding OKI’s upcoming participation in the joint venture ETRIA Co., Ltd., set to take effect in October 2025. The new partnership aims to enhance the development and manufacturing capabilities of multifunction printers (MFPs) and related products by combining the strengths of each company.

ETRIA, which was established on July 1, 2024, as a collaboration between Ricoh and Toshiba Tec, is focused on the development, manufacturing, and sales of multifunction printers (MFPs) and related products. With OKI joining as the third partner, the joint venture will combine the expertise and resources of all three companies to enhance production capabilities, accelerate technological innovation, and streamline manufacturing operations.

One of the key elements of this integration is the transfer of OKI’s production site in Thailand to ETRIA, which will officially take place on October 1, 2025. The production facility, which has been an essential part of OKI’s manufacturing operations, will be absorbed into ETRIA, enabling the joint venture to expand its production capacity and better meet global demand for MFPs and related technologies. This move is expected to improve operational efficiency, as OKI’s expertise in LED head technology and other critical components will be fully integrated into ETRIA’s workflow.

As a result of this business integration, ETRIA’s ownership structure will be adjusted. Ricoh will hold 80.74% of the joint venture, Toshiba Tec will hold 14.25%, and OKI will own 5.01%. This change reflects the increasing role of OKI in ETRIA, particularly in the development of new products and the optimization of manufacturing processes. The previous stake of Toshiba Tec will decrease slightly from 15% to 14.25%, making the company no longer an equity-method affiliate of Toshiba Tec.

The participation of OKI is seen as a strategic move to enhance the development of engine technology and improve product competitiveness. OKI’s contribution is expected to help ETRIA strengthen its engine capabilities and expand its footprint in the growing markets for energy-efficient, compact, and high-performance MFPs. Furthermore, the integration of OKI’s LED color label printer business into ETRIA is poised to open up new business opportunities, especially in the auto-ID and label printing sectors.

Further details regarding the full impact of this integration, especially on Ricoh’s consolidated financial results, will be disclosed in due course.
